Terms of Service

1. Parties and scope

These terms are between you and Virtus Nemeton Ltd, registered in England and Wales under company number 17181232, with registered office at 24 Dymchurch Avenue, Radcliffe, Manchester, M26 1BB. They govern use of our public websites and any Nemeton Works service made available without a separate signed agreement.

A signed order form, pilot agreement, software agreement or data-processing agreement takes priority if it conflicts with these website terms.

2. Nemeton Works

Nemeton Works is a maintenance operations platform. Its modules support field evidence, job sheets, work assignment, planned maintenance, time and material records, review workflows, briefs and approved operational memory.

Service scope, availability, support, implementation, fees and any service levels are defined in the applicable commercial agreement.

3. Human review and professional judgement

Software-generated summaries, classifications, briefs and proposed actions are advisory. A competent, authorised person must review consequential outputs before they are acted on, sent externally or accepted as permanent operational memory.

  • Do not use the service as the sole control for safety-critical decisions.
  • Verify outputs against source evidence and applicable procedures.
  • Maintain legally required inspections, competence and professional sign-off.
  • Do not configure autonomous external actions without written agreement.

4. Accounts and acceptable use

You must keep account credentials secure, use the service only for authorised business purposes and notify us promptly of suspected compromise. You must not:

  • Access another organisation's data or bypass access controls.
  • Upload unlawful content or data you are not entitled to process.
  • Probe, disrupt, overload, reverse engineer or misuse the service.
  • Use outputs to mislead customers, regulators, employees or contractors.
  • Use the service in breach of export, sanctions or applicable data-protection law.

5. Customer data

As between the parties, you retain ownership of the data you submit. You grant us the limited rights needed to host, process, secure, support and improve the contracted service. We do not sell customer data.

Each party must comply with its data-protection obligations. Where we process personal data on your behalf, the applicable data-processing agreement governs that processing.

6. Intellectual property

Virtus Nemeton and its licensors retain ownership of the platform, software, design, documentation and methodologies. Subject to payment and the applicable agreement, we grant authorised users a limited, non-exclusive, non-transferable right to use the service for internal business purposes.

7. Fees, suspension and termination

Fees, taxes, invoicing and renewal terms are set out in the applicable order or agreement. We may suspend access where reasonably necessary to address security risk, unlawful use, material non-payment or a serious breach. Where practical, we will give notice and an opportunity to remedy the issue.

Export, return and deletion of customer data following termination are governed by the customer agreement, our retention schedule and applicable law.

8. Availability and warranties

We use reasonable care and skill in providing the service. Unless expressly agreed in writing, we do not promise uninterrupted availability or that every software-generated output will be complete or error free. Nothing in these terms excludes warranties or rights that cannot lawfully be excluded.

9. Liability

Liability caps, exclusions and insurance requirements for paid services are defined in the applicable signed agreement. Nothing in these terms limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

10. Law and contact

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction unless a signed agreement states otherwise.
